Terms & Conditions for SimpleDraw

1. Introduction and Acceptance
1.1 Agreement to Terms
Welcome to SimpleDraw (“we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your access to and use of the SimpleDraw website at simpledraw.app and all related services (collectively, the “Service”).
SimpleDraw is operated by Lexi Creative Ltd, a company registered in England and Wales (Company Number: 16892165)
By accessing or using our Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service.
1.2 Who May Use the Service
Age Requirements:
- You must be at least 13 years old to create an account and use cloud storage features
- Children under 13 may use the basic drawing tool without an account
- If you are between 13 and 18, you should have parental or guardian consent
Geographic Restrictions:
- This Service is not available to users located in or residents of China, Russia, Iran, or North Korea
- By using this Service, you represent and warrant that you are not accessing it from a restricted jurisdiction
- We reserve the right to restrict access from any jurisdiction at our sole discretion
Capacity:
- To use the basic drawing tool, you must have sufficient understanding to agree to these Terms
- To create an account, you must have the legal capacity to enter into a binding contract
- If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms
1.3 Changes to Terms
We reserve the right to modify these Terms at any time.
How We Notify You of Changes
Material changes (changes that significantly affect your rights or obligations):
- Email notification to registered users
- Prominent notice on our website
- Reasonable advance notice (typically 7-14 days, but may be shorter for urgent legal/security changes)
Non-material changes (clarifications, minor updates):
- Updated “Last Updated” date at top of this document
- Notice on our website
Effective date:
- Changes take effect on the date specified in the notice
- Continued use after the effective date constitutes acceptance
Your acceptance:
- Continued use of the Service after changes take effect constitutes acceptance
- If you do not agree to changes, you must stop using the Service and may delete your account
1.4 Additional Terms
Your use of the Service is also governed by:
- Our Privacy Policy (incorporated by reference)
- Any additional terms presented to you for specific features
In case of conflict, these Terms take precedence unless explicitly stated otherwise.
2. Definitions
For purposes of these Terms:
- “Account” means a registered user account for cloud storage features
- “Content” means any drawings, text, data, or other materials created, uploaded, or stored using the Service
- “User Content” means Content created or uploaded by you
- “Public Drawing” means a drawing with visibility set to “public”
- “Private Drawing” means a drawing with visibility set to “private”
- “Shared Drawing” means a drawing with visibility set to “shared”
- “Free Tier” means the free cloud storage plan (up to 5 public drawings)
- “Paid Tier” means any paid subscription plan
- “We,” “us,” “our” means Lexi Creative Ltd, trading as SimpleDraw
- “You,” “your” means the user of the Service
3. Description of Service
3.1 Drawing Tool
SimpleDraw is a web-based drawing tool for creating scale drawings and floor plans, including:
- Drawing tools (lines, rectangles, circles, etc.)
- Measurement and scaling features
- Text annotations
- Grid and snap features
- Export capabilities
No account required: You can use the basic drawing tool without creating an account. Drawings are saved locally in your browser.
3.2 Cloud Storage Service
Registered users can store drawings in the cloud.
We offer both free and paid subscription tiers with different storage limits and features.
Free tier: Limited storage for public drawings only
Paid tiers: Increased storage limits, private and shared drawings, and additional features
Specific limits and features for each tier are detailed on our pricing page.
3.3 Service Availability
No Uptime Guarantee:
- We strive for high availability but do not guarantee uninterrupted access
- The Service may be unavailable due to maintenance, updates, or technical issues
- We are not liable for any downtime or service interruptions
Beta Features:
- Some features may be marked as “beta” or “experimental”
- We may discontinue beta features at any time
3.4 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service
- Change features, functionality, or pricing
- Impose limits on features or storage
Notice: We will provide reasonable notice of material changes that negatively affect your use of the Service.
Notice:
- For material changes that significantly reduce functionality, we will provide reasonable advance notice
- For paid subscribers, material feature removals will take effect at the end of your current billing period, or we may offer alternative compensation
4. Account Registration and Security
4.1 Account Creation
To use cloud storage features, you must create an account.
You agree to:
- Provide accurate and complete information
- Keep your account information up to date
- Maintain the security of your password
- Not share your account credentials
- Notify us immediately of any unauthorized access
You are responsible for all activities that occur under your account.
4.2 Account Security
Your responsibilities:
- Use a strong, unique password
- Do not share your password with anyone
- Log out of shared or public devices
Our responsibilities:
- Store passwords as cryptographic hashes (never plain text)
- Implement reasonable security measures
- Notify you of suspected unauthorized access
4.3 Content Visibility and Privacy
You are responsible for:
- Choosing appropriate visibility settings for your drawings
- Not sharing sensitive or confidential information in public or shared drawings
- Understanding that public and shared drawings can be viewed and copied by others
- Understanding that once someone copies your drawing, you cannot control what they do with their copy
We are not responsible for:
- Privacy implications of your visibility choices
- How others use drawings you make public or shared
4.4 Account Termination by You
You may delete your account at any time through your account settings.
What happens when you delete your account:
- Your account is immediately deactivated and you cannot log in
- You have 30 days to request account recovery by contacting support@simpledraw.app
- After 30 days, your account cannot be recovered
- All data is permanently deleted (may remain in backups for up to 90 days)
- Paid subscriptions: no refunds for unused time (see Section 6.7)
Before deleting: Download any drawings you want to keep.
4.5 Account Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- You engage in prohibited activities (see Section 7)
- Your account is inactive for more than 3 years
- We determine you are accessing the Service from a restricted jurisdiction.
- Required by law
- We discontinue the Service
Notice:
- We will provide reasonable notice before termination (except for serious violations)
- You may export your data before termination
- No refunds for paid subscriptions (see Section 6.7)
4.6 Multiple Accounts
Creating multiple accounts to circumvent service limits is prohibited and may result in account termination.
5. User Content and Intellectual Property
5.1 Your Ownership
You retain all intellectual property rights to User Content you create.
We claim no ownership over your drawings, designs, or other Content.
5.2 Licence You Grant to Us
For All User Content:
By using the Service, you grant us a limited, non-exclusive, royalty-free licence to:
- Store and display your Content
- Perform technical operations (backups, format conversions, etc.)
- Provide the Service to you
This licence exists only for the purpose of operating the Service and ends when you delete your Content.
For Public Drawings:
By making a drawing public, you grant us an additional irrevocable, perpetual, worldwide, non-exclusive, royalty-free licence to:
- Display the drawing in our public gallery
- Use the drawing in marketing materials (screenshots, examples, tutorials, social media)
- Allow other users to view, copy, and modify the drawing
This licence:
- Continues even if you later make the drawing private or delete it
- Does not transfer ownership (you still own the drawing)
For Shared Drawings:
By making a drawing shared, you grant us an additional irrevocable, perpetual, worldwide, non-exclusive, royalty-free licence to:
- Allow anyone with the URL to view, copy, and modify the drawing
This licence:
- Continues even if you later make the drawing private or delete it
- Does not transfer ownership (you still own the drawing)
We will not use shared drawings in marketing materials.
5.3 Licence Other Users Receive
Public and Shared Drawings:
When you make a drawing public or shared, other users receive a licence to:
- View the drawing
- Copy (clone) the drawing
- Modify their copy
- Create derivative works
- Make their copy (with or without modifications) public
This licence is:
- Non-exclusive (you can still use your original)
- Royalty-free (they don’t pay you)
- For non-commercial use only
- Irrevocable for copies they’ve already made (even if you later make your original private)
Important: Once someone copies your public or shared drawing, they own their copy independently. You have no rights over their modified version. However they may only use it for non-commercial purposes.
Note: Public drawings appear in our public gallery; shared drawings do not.
Private Drawings:
Other users receive no licence to private drawings.
5.4 Your Responsibilities
You represent and warrant that:
- You own or have the right to use all User Content you upload
- Your User Content does not infringe any intellectual property rights
- You have the right to grant the licences described above
- Your User Content complies with these Terms
You are solely responsible for your User Content.
5.5 Our Intellectual Property
The Service itself (software, design, features, branding) is owned by us and protected by:
- Copyright
- Trademark
- Patent (if applicable)
- Trade secret
- Other intellectual property laws
You may not:
- Copy, modify, or reverse engineer the Service
- Use our trademarks without permission
- Create derivative works of the Service
- Remove copyright or proprietary notices
Permitted use:
- Use the Service as intended
- Create drawings using the Service
- Share screenshots for educational or promotional purposes (with attribution)
5.6 Feedback
If you provide feedback, suggestions, or ideas about the Service:
- We may use them without obligation to you
- You grant us an unlimited, irrevocable licence to use feedback
- We are not required to keep feedback confidential
- You are not entitled to compensation
6. Paid Subscriptions
6.1 Subscription Plans
We offer paid subscription plans with enhanced features.
Pricing, storage limits, and specific features for each tier are available on our pricing page.
6.2 Payment
Payment methods:
- Credit/debit card via Stripe
Billing:
- Subscriptions are billed in advance
- Your subscription automatically renews at the end of each billing period
- Billing interval is shown at checkout
Currency:
All prices in US Dollars (USD)
Taxes:
Prices are shown exclusive of any applicable taxes. Taxes (such as VAT or sales tax) will be added at checkout where required by law.
6.3 Auto-Renewal
Subscriptions automatically renew unless you cancel.
- You will be charged automatically at the end of each billing period
- We will send a reminder email before renewal (typically at least 7 days in advance)
6.4 Cancellation
You may cancel your subscription at any time through your account settings.
Effect of cancellation:
- No further charges after current billing period ends
- Access to paid features continues until end of current billing period
- Account reverts to Free Tier at end of billing period
- Drawings exceeding Free Tier limits are not accessible until you upgrade again
- You can delete drawings from your account settings even when they exceed the limit
6.5 Downgrades
If you downgrade to a lower tier:
Drawings exceeding your new storage limit become inaccessible until you upgrade
You can manage and delete drawings from your account settings even when over the limit
6.6 Price Changes
We may change subscription prices at any time.
Notice:
- Existing subscribers will receive at least 30 days notice via email
- Price changes take effect at your next renewal (not mid-subscription)
- New subscribers pay the current price shown on our pricing page
Your options:
- Accept the new price (do nothing)
- Cancel before renewal to avoid the price change
6.7 Refunds
No refunds except as required by law.
- No refunds for partial months or years
- No refunds if you cancel mid-subscription
- No refunds if we terminate your account for Terms violations
- No refunds for unused storage or features
Exceptions:
- Technical issues preventing use of Service (at our discretion)
- Billing errors (we will correct and refund)
- Required by consumer protection laws in your jurisdiction
To request a refund: Email support@simpledraw.app with details.
6.9 Payment Failures
If a payment fails, your account will be downgraded to Free Tier.
To restore paid features, update your payment information through “Manage Subscription” in your account settings.
7. Prohibited Uses and Content
7.1 Prohibited Content
You may not upload, create, store, or share any Content that:
Illegal Content:
- Is illegal under UK law or the law of your jurisdiction
- Depicts or promotes child sexual abuse material (CSAM)
- Promotes terrorism or violent extremism
- Violates export control laws (e.g., weapons designs subject to restrictions)
Harmful Content:
- Contains malware, viruses, or malicious code
- Is designed to harm, disrupt, or gain unauthorized access to systems
- Contains instructions for illegal activities (making weapons, explosives, drugs, etc.)
Infringing Content:
- Infringes copyright, trademark, patent, or other intellectual property rights
- Violates trade secrets or confidentiality obligations
- Contains proprietary information you don’t have rights to share
Privacy Violations:
- Violates others’ privacy rights
- Contains personal information without consent (e.g., floor plans of someone’s home with identifying information, addresses, or other private details)
- Enables doxxing or harassment
Abusive Content:
- Contains hate speech or promotes discrimination
- Harasses, threatens, or bullies individuals
- Is defamatory or libelous
Spam and Fraud:
- Is spam or unsolicited advertising
- Is used for phishing or fraud
- Misleads or deceives users
These lists are not exhaustive. We reserve the right to remove any content we deem inappropriate.
7.2 Prohibited Activities
You may not:
Abuse the Service:
- Attempt to gain unauthorized access to the Service or other users’ accounts
- Interfere with or disrupt the Service
- Bypass security measures or access controls
- Use automated tools to access the Service (bots, scrapers) without permission
Misuse Features:
- Create multiple accounts to circumvent limits
- Share account credentials
- Resell or redistribute the Service
- Use the Service to facilitate illegal activities
- Use the Service in ways that harm other users or the Service itself
Commercial Misuse:
- Use Free Tier for commercial purposes at scale (contact us for commercial licensing)
- Resell or commercially exploit drawings created by others
Impersonation:
- Impersonate others or misrepresent your affiliation
- Use misleading usernames or profile information
7.3 Our Rights and Enforcement
We reserve the right to:
- Use automated tools to detect prohibited content (including in private drawings)
- Review any Content (including private drawings) if we have reasonable suspicion of prohibited content or if flagged by automated systems
- Remove Content that violates these Terms
- Suspend or terminate accounts that violate these Terms
- Report suspected illegal content to law enforcement
- Cooperate with law enforcement investigations
- Preserve Content for legal proceedings
We are not obligated to:
- Monitor Content proactively (except as required by law)
- Screen Content before it’s uploaded (except as required by law)
- Investigate every report we receive
Our enforcement is at our sole discretion.
7.4 Reporting Violations
If you find Content that violates these Terms:

Include:
- URL or description of the Content
- Reason you believe it violates Terms
- Your contact information
We will:
- Review reports promptly
- Take appropriate action
- Not necessarily notify you of the outcome (privacy reasons)
7.5 Repeat Infringers
We will terminate accounts of repeat infringers.
8. Copyright and DMCA
8.1 Copyright Infringement
We respect intellectual property rights and expect users to do the same.
8.2 DMCA Takedown Procedure
If you believe Content on SimpleDraw infringes your copyright, you may submit a DMCA takedown notice.
Send to: copyright@simpledraw.app
Your notice must include:
- Your physical or electronic signature
- Identification of the copyrighted work claimed to be infringed
- Identification of the infringing material and its location (URL)
- Your contact information (address, phone, email)
- A statement that you have a good faith belief that the use is not authorized
- A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner
We will:
- Remove or disable access to the allegedly infringing Content
- Notify the user who posted the Content
- Terminate repeat infringers
8.3 Counter-Notice
If your Content was removed due to a DMCA notice and you believe it was removed in error:
Send a counter-notice to: copyright@simpledraw.app
Your counter-notice must include:
- Your physical or electronic signature
- Identification of the removed Content and its former location
- A statement under penalty of perjury that the Content was removed by mistake or misidentification
- Your contact information
- Consent to jurisdiction of UK courts (or your local jurisdiction)
We will:
- Forward your counter-notice to the original complainant
- Restore the Content in 10-14 business days unless the complainant files a lawsuit
8.4 False Claims
Submitting false DMCA notices or counter-notices may result in:
- Legal liability for damages
- Termination of your account
- Referral to law enforcement
9. Privacy and Data Protection
9.1 Privacy Policy
Our Privacy Policy explains how we collect, use, and protect your personal data.
By using the Service, you also agree to our Privacy Policy.
The Privacy Policy is incorporated by reference into these Terms.
9.2 Data You Provide
You are responsible for the accuracy of data you provide.
You agree not to:
- Provide false or misleading information
- Use someone else’s email address
- Impersonate others
9.3 Public Content
Public drawings are visible to everyone.
- Anyone can view, copy, and modify public drawings
- Search engines may index public drawings
- You have no expectation of privacy for public Content
Do not make drawings public if they contain:
- Personal information
- Confidential information
- Anything you want to keep private
9.4 Shared Content
Shared drawings are accessible to anyone with the URL.
- Treat shared URLs as sensitive
- Anyone you share the URL with can share it further
- You cannot control who accesses a shared drawing once the URL is distributed
9.5 Private Content
Private drawings are accessible only to you.
Exceptions:
- We may access private drawings in limited circumstances (see Privacy Policy Section 4.5 for details)
- Law enforcement with valid legal process
- Technical support with your explicit permission
9.6 Data Security
We implement reasonable security measures, but:
- No system is 100% secure
- We cannot guarantee absolute security
- You use the Service at your own risk

9.7 Data Breaches
In the event of a data breach:
- We will notify you as required by law
- We will notify the ICO (UK supervisory authority)
- We will take steps to mitigate the breach
Our liability for data breaches is limited (see Section 11).
10. Export and Data Portability
10.1 Data Portability
You have the right to obtain copies of your data:
- Individual drawings can be downloaded from your account
- Complete data export available on request via email
Format: JSON (machine-readable, structured format)
10.2 What’s Included in Data Export
- Drawing content (all shapes, lines, text, measurements)
- Drawing title
- Account information (upon request)
10.3 No Obligation to Support Imports
We are not obligated to:
- Import drawings from other services
- Support specific file formats beyond JSON
11. Disclaimers and Limitation of Liability
11.1 Service Provided “As Is”
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
We disclaim all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability
- Uninterrupted or error-free operation
11.2 No Professional Advice
SimpleDraw is a drawing tool, not professional design software.
- Drawings are for illustrative purposes only
- Do not rely on drawings for construction, engineering, or professional purposes
- Consult qualified professionals for technical drawings
- We are not liable for errors in measurements or calculations
11.3 User Content Disclaimer
We do not endorse, verify, or take responsibility for User Content.
- User Content represents the views of users, not ours
- We do not guarantee accuracy, quality, or legality of User Content
- You use User Content at your own risk
We are not responsible for:
- How users choose to share their content
- What others do with content you share (including public and shared drawings)
- Privacy implications of your visibility and sharing choices
- Content that becomes public through user actions
11.4 Third-Party Services
We use third-party services (Cloudflare, payment processors, etc.):
- We are not responsible for third-party service failures
- Third-party terms and privacy policies apply
- We are not liable for third-party actions or omissions
11.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We are not liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Loss of goodwill or reputation
- Service interruptions or downtime
- Data loss or corruption
- Unauthorized access to your account
- Errors or inaccuracies in Content
- Third-party actions or content
Even if we have been advised of the possibility of such damages.
11.6 Maximum Liability
Our total liability to you for all claims is limited to:
The greater of:
- $100 (one hundred US dollars), OR
- The amount you paid us in the 12 months before the claim
This applies to all claims, whether based on:
- Contract
- Tort (including negligence)
- Breach of statutory duty
- Any other legal theory
11.7 Exceptions to Limitations
These limitations do not apply to:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded by law
11.8 Basis of the Bargain
You acknowledge that:
- These limitations are a fundamental part of our agreement
- We would not provide the Service without these limitations
- The pricing reflects these limitations
- You have had the opportunity to review these Terms
11.9 Your Responsibility
You are responsible for:
- Backing up your drawings
- Maintaining copies of important work
- Using the Service appropriately
- Complying with these Terms
We are not a backup service. We strongly recommend:
- Regularly exporting important drawings
- Keeping local copies of critical work
- Not relying solely on cloud storage for irreplaceable designs
12. Indemnification
12.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless Lexi Creative Ltd, its directors, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of any third-party rights (including intellectual property rights)
- Any claim that your User Content caused harm to a third party
12.2 Our Right to Control Defence
We reserve the right to:
- Assume exclusive defence and control of any matter subject to indemnification
- Require you to cooperate with our defence
- Settle claims at our discretion
You may not settle any claim without our prior written consent.
12.3 Notice
We will notify you promptly of any claim subject to indemnification.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
13.2 Jurisdiction
You agree that:
- Any disputes will be resolved in the courts of England and Wales
- You submit to the exclusive jurisdiction of those courts
- You waive any objection to venue or inconvenient forum
Exception: If you are a consumer in the EU, you may have additional rights under EU consumer protection laws.
13.3 Informal Resolution
Before filing a lawsuit, you agree to:
- Contact us at legal@simpledraw.app
- Describe the dispute in detail
- Attempt to resolve the dispute informally for at least 30 days
We agree to do the same.
13.4 Time Limit for Claims
You must bring any claim within 1 year of the cause of action arising.
After 1 year, the claim is permanently barred.
13.5 Individual Disputes
You agree to bring claims individually, not as part of a class action, collective action, or representative proceeding.
If this provision is unenforceable in your jurisdiction, it will be severed from these Terms without affecting the enforceability of the remaining provisions.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
They supersede all prior agreements, understandings, or representations.
14.2 Severability
If any provision of these Terms is found invalid or unenforceable:
- That provision will be modified to the minimum extent necessary to make it valid
- The remaining provisions remain in full effect
14.3 Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
Waiver of one breach does not waive future breaches.
14.4 Assignment
You may not assign or transfer these Terms or your account without our written consent.
We may assign these Terms to:
- An affiliate or subsidiary
- A successor in a merger, acquisition, or sale of assets
14.5 No Third-Party Beneficiaries
These Terms are between you and us only.
No third party has any rights under these Terms.
14.6 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including:
- Natural disasters
- War or terrorism
- Government actions
- Internet or telecommunications failures
- Strikes or labor disputes
- Pandemics
14.7 Survival
The following sections survive termination of these Terms:
- Section 5 (Intellectual Property)
- Section 11 (Disclaimers and Limitation of Liability)
- Section 12 (Indemnification)
- Section 13 (Dispute Resolution)
- Any other sections that by their nature should survive
14.8 Headings
Section headings are for convenience only and do not affect interpretation.
14.9 Language
These Terms are written in English. Any translations are for convenience only. In case of conflict, the English version prevails.
14.10 Electronic Communications
You consent to receive communications from us electronically.
- We may communicate via email or in-app notifications
- Electronic communications satisfy any legal requirement for written communication
14.11 Export Controls
You may not use the Service if you are:
- Located in a country subject to UK or international sanctions
- On any government list of prohibited or restricted parties
You represent that you are not subject to such restrictions.

By using SimpleDraw, you acknowledge that:
- You have read and understood these Terms
- You agree to be bound by these Terms
- You have read and understood our Privacy Policy
- You have sufficient understanding to agree to these Terms
- You will comply with all applicable laws
- You understand the limitations and disclaimers
- You accept the risks of using the Service
If creating an account, you additionally represent that:
- You are at least 13 years old
- You have the legal capacity to enter into a binding contract
- If you are between 13-18, you have parental consent
If you do not agree, you must not use the Service.
